1. Agreement and eligibility
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you use OwlUptime for an organisation, you confirm that you have authority to bind that organisation. You must be legally capable of entering into a contract and provide accurate account and billing information.
An order form, data processing agreement, or enterprise agreement signed by both parties may add to these Terms. If there is a conflict, the signed document controls for that subject.
2. Accounts and security
You are responsible for your account, users you invite, permissions, credentials, and activity under your workspace. Keep login details confidential and notify us promptly of suspected misuse. You may not share individual credentials in a way that bypasses plan limits or security controls.
3. The monitoring service
OwlUptime performs checks according to the features and intervals shown for your plan and sends alerts through the channels you configure. Results can be affected by network routes, target configuration, third-party providers, rate limits, maintenance, and events outside our reasonable control.
Monitoring reduces detection time but does not guarantee uninterrupted availability, error-free measurements, delivery of every alert, or prevention of loss. OwlUptime should not be your only security, backup, emergency, or business-continuity control.
4. Authorised and acceptable use
You may monitor only systems you own or are authorised to test. You must not use the Service to:
- Scan, probe, overload, disrupt, or gain unauthorised access to any system or network.
- Send malicious payloads, evade security controls, or conduct denial-of-service activity.
- Violate privacy, intellectual-property, consumer, export-control, or other applicable laws.
- Resell, reverse engineer, scrape, or circumvent plan, rate, access, or technical limits except where law expressly permits it.
- Upload secrets, unlawful content, or unnecessary sensitive personal data to public status pages or monitor fields.
5. Status pages and customer content
You retain ownership of content you submit. You give OwlUptime a limited licence to host, process, display, and transmit that content only as needed to provide and secure the Service. You are responsible for its accuracy, legality, permissions, visibility settings, and any notices required for people whose data it includes.
Paid plans may include password protection and private status pages. These access controls reduce public visibility but do not replace your responsibility to avoid publishing credentials or confidential information.
6. Plans, fees, taxes, and renewal
The Free plan has no subscription fee. Paid plans are billed in advance for the monthly or annual period selected at checkout. Paid transactions are completed through Paddle, which acts as Merchant of Record, processes the payment, calculates applicable taxes, and issues the transaction invoice. Paddle’s buyer terms and privacy notice apply to the purchase transaction. Unless checkout or an order form says otherwise, paid subscriptions renew automatically for the same period until cancelled.
You authorise Paddle to charge the payment method on file. If payment fails, Paddle may retry the charge and Owl Uptime may restrict paid features, downgrade, or suspend the account after reasonable notice. We may change future prices or plan contents with the advance notice required by law; changes do not alter a prepaid period unless agreed.
7. Cancellation and refunds
You may cancel a paid subscription at any time. Cancellation stops the next renewal and paid access normally continues until the end of the already-paid period. Deleting an account is not a substitute for cancelling a subscription unless the product explicitly confirms cancellation.
OwlUptime does not offer a trial period. Refund eligibility is governed by the Refund Policy and any mandatory consumer law that applies to you.
8. Integrations and third-party services
Slack, Telegram, Discord, email, SMS, identity, and other third-party services are operated by their providers. Paddle operates checkout and payment services as Merchant of Record. Your use of third-party services is subject to their terms. We are not responsible for third-party availability, changes, message delivery, or actions, but we will operate our integrations with reasonable care.
9. Intellectual property and feedback
OwlUptime and its licensors own the Service, software, designs, trademarks, and documentation, excluding your content. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your account term. If you provide feedback, we may use it without restriction or payment, without identifying you publicly unless you consent.
10. Privacy and confidentiality
Our Privacy Policy explains how we handle personal data. Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform or receive the Service, except where disclosure is authorised or legally required.
11. Suspension and termination
We may restrict or suspend access when reasonably necessary to protect security, prevent unlawful or abusive use, respond to legal requirements, or address overdue fees. Where practical, we will give notice and an opportunity to cure. We may terminate for a material breach that is not cured within a reasonable period, or immediately for serious misuse or legal risk. You may stop using the Service at any time.
12. Warranties and liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. OwlUptime’s aggregate liability arising from the Service will not exceed the fees you paid for the affected Service during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or liability that law does not allow to be limited.
13. Governing law and disputes
Unless a signed order form states otherwise, these Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules, and disputes will be submitted to the competent courts and enforcement offices of Istanbul. Mandatory consumer rights and legally mandatory venues remain unaffected.
14. Changes and contact
We may update these Terms to reflect changes to the Service or law. Material changes will be notified as required and apply prospectively. Continued use after the effective date means you accept the revised Terms where permitted by law. Questions can be sent to [email protected].
